THE LAW
of June 26, 1997
on the International Institute of Molecular and Cellular Biology in Warsaw

Art. 1.

1. The International Institute of Molecular and Cellular Biology (hereinafter called "the Institute") is being established.
2. The Institute is a State organizational entity, having the status of a legal person.
3. The Institute acts on the ground of this Law, of the Agreement between the Government of Republic of Poland and the United Nations Educational, Scientific and Cultural Organization regarding setting up and functioning of the International Institute of Molecular and Cellular Biology in Warsaw, drawn up in Paris on May 26, 1995 (Law Journal of 1996, No 109, pos. 521), hereinafter called "the Agreement", and under the Polish law.
4. The Institute has its seat in Warsaw.

Art. 2.

1. The Institute's tasks include in particular:

  1. contributing, through research works and training, to advancement of science in the field of molecular and cellular biology, and in related fields also, with special regard to medical, veterinary and natural environment problems,
  2. supporting and maintaining of international scientific cooperation, exchange and contacts,
  3. stimulating implementation of research results into practical applications,
  4. popularizating of scientific achievements.

2. The Institute realizes the tasks described in part 1 through:

  1. conducting experimental and theoretical research,
  2. educating research,
  3. managing specialistic courses,
  4. participating in the UNESCO World-wide Network of Molecular and Cellular Biology in capacity of possible coordinator for regional activities,
  5. creating the forum for contacts and information exchange between scientists of different countries,
  6. cooperating with medical and industrial institutions in order to employ results of scientific research in practice,
  7. spreading of biological and medical science, first of all through publications and scientific meetings organization.

Art. 3.

1. Polish Academy of Science, according to provisions included in art. III of the Agreement, will secure accommodations for the Institute and basic equipment indispensable for commencement of its activities.
2. Accommodations mentioned above in part 1 are being rendered accessible on the basis of a contract of loan for use.

Art. 4.

1. The Institute secures receipts from:

  1. budget grant, being included in the State budget in the part concerning Polish Academy of Science,
  2. funds (contributions) transferred by UNESCO.
  3. payments by way of participation of other institutions in the Institute's works on the basis of agreements entered into,
  4. realization of scientific research as well as research and development works being financed or commissioned by institutions and economic units, domestic and foreign,
  5. business activity managed by the Institute.
  6. Donations, bequests and subventions.

2. Budget grant, mentioned in part 1, point 1, is being appropriated to supplementary financing of current exploitation of a building making the Institute's seat, and of costs of upholding administration and technical maintenance of the Institute.

Art. 5.

1. The Institute's organs are:

  1. International Advisory Committee
  2. Director.

Art. 6.

1. International Advisory Committee includes not less than 10 members being appointed for the years term by President of Polish Academy of Science, in consultation with Director General of UNESCO, from among eminent specialists in the Institute's sphere of activity.
2. International Advisory Committee's tasks comprise:

  1. formulating of general instructions concerning the Institute's activity,
  2. examining projects and stating its opinions on the Institute's program of activity, financial plan, structure and operation procedure,
  3. considering the Institute Director's reports on a subject of the Institute's activity,
  4. laying down rules and regulations of realization of competitions for mentioned in art. 13, points 1-3,
  5. laying down principles and procedure of making an estimation of scientific activity of personnel mentioned in art. 13, points 1-3,
  6. realizing other tasks provided by this Law and by the Institute's statutes.

3. International Advisory Committee's organization and its way of acting are defined by regulations by this Committee.

Art. 7.

1. The Institute's Director is being appointed and recalled, from among persons of recognized abilities, having qualifications required when taking over highest academic posts, by President of Polish Academy of Science, in consultation with Director General of UNESCO and International Advisory Committee.
2. Tasks and duties of the Institute's Director include in particular:

  1. managing and representing the Institute, and making, in its name, declarations of will,
  2. preparing project of activity program and financial plan of the Institute,
  3. laying down and executing activity program and financial plan of the Institute within general instructions being formulated by International Advisory Committee,
  4. conducting human resources policy,
  5. informing President of Polish Academy of Science and Director General of UNESCO of agreements concerning cooperation with other entities being concluded.

3. The Institute's Director may be bringing advisory organs into being, laying down their procedure and sphere of activities.

Art. 8.

1. Internal organization and activity procedure of the Institute are defined by its statutes, given by President of Polish Academy of Science.

Art. 9.

1. Supervision over functioning of the Institute is performed by President of Polish Academy of Science.
2. Within this supervision President of Polish Academy of Science exercises control and makes evaluation of the Institute's activities, and of the Institute Director's work.
3. President of Polish Academy of Science, in case of ascertaining that the Institute Director's decision is illegal, suspends its execution and puts the Institute's Director under an obligation to change or to annul this decision.

Art. 10.

1. The Institute manages assigned or purchased part of property and conducts independent administration within the limits of funds in its possession.
2. The Institute's economy is based on financial plan, laid down by the Institute's Director, after an opinion of it given by International Advisory committee.

Art. 11.

1. The Institute bears responsibility for its obligations.
2. The Institute does not bear responsibility for obligations of the State Treasury or other artificial persons. State Treasury does not bear responsibility for the Institute's obligations.

Art. 12.

1. The Institute lays down independently the amount of funds for salaries, within the limits of financial means in its possession.

Art. 13.

1. The Institute employs workers at following posts:

  1. professor,
  2. research worker,
  3. assistant,
  4. administrative, technical and maintenance worker.

Art. 14.

1. At the professor's post only a person having at least doctor's degree may be employed.
2. At the research worker's post a person having doctor's degree may be employed.
3. At the assistant's post a person having at least master's degree or equivalent professional title may be employed.
4. Candidates for posts mentioned in parts 1-3 are appointed by way of competition.

Art. 15.

1. Upon the professor's application the Institute employs his co-worker at the post mentioned in art. 13. Point 2 or 3, without necessity of appointing candidates by way of competition.

Art. 16.

1. Workers mentioned in art. 13, points 1-3, are being employed on the basis of employment contract for a specified time.
2. International Advisory Committee makes evaluation of scientific activity of professors every two years, and research workers and assistants every year.

Art. 17.

1. To foreigners employed in the Institute at posts mentioned in art.13, points 1-4, regulations concerning foreigners employed in academy level institutions are being applied respectively.

Art. 18.

1. Wage rules concerning the Institute's workers are being laid its Director, after taking an opinion of International Advisory Board.
2. Salary of the Institute's Director is being laid down by President of Polish Academy of Science in consultation with Director General of UNESCO.
3. The Institute's Director fixes the list of posts for technical, administrative and maintenance workers.

Art. 19.

1. As regards matters not regulated by this Law, the Labour Code provisions apply to the Institute's workers.

Art. 20.

1. As regards matters not regulated by this Law, regulations concerning research establishments of Polish Academy of Science apply respectively to the Institute.

Art. 21.

1. In case of loss of the Agreement's binding effect President of Polish Academy of Science will order liquidation of the Institute, defining at the same time terms and procedure of execution of this liquidation.

Art. 22.

1. The Law comes into force after expiration of a period of 14 days from the date of publication.
